01 / Agreement

SST OneView Service Terms

These Service Terms govern access to SST OneView and related services provided by Southern Strategic Technologies, LLC (“SST,” “we,” “us,” or “our”). “Customer” means the organization that accepts these terms or signs an order with SST.

Private preview notice

SST OneView is in controlled private preview. Features may change, access is invitation-based, and no production uptime commitment or service credit applies unless SST signs a separate written order or service-level agreement.

1. Agreement and authority

These terms, the Privacy Notice, Acceptable Use Policy, Billing and Refund Policy, applicable order forms, and any signed Data Processing Addendum form the agreement between SST and Customer. A person accepting for an organization confirms that they are at least 18 years old and authorized to bind that organization. If an order form conflicts with these terms, the order form controls for that order.

2. The service

SST grants Customer a limited, non-exclusive, non-transferable right to use the subscribed SST OneView modules during the applicable subscription or evaluation period. Access is limited to Customer's authorized users, locations, included seats, and entitlements. SST may improve, replace, or discontinue preview functionality, but will avoid materially reducing paid core functionality during a committed term without reasonable notice.

3. Evaluations and design-partner access

Unless an invitation states otherwise, a private-preview evaluation lasts 15 calendar days beginning when the owner account and workspace are created. No payment card is required for the evaluation. Evaluation access is for assessment, configuration, training, and agreed pilot workflows. SST may extend, limit, or end evaluation access and may require a signed pilot agreement before live operational data is used.

4. Accounts and administrators

Customer is responsible for accurate registration information, authorized-user access, role assignments, account activity, and prompt removal of users who no longer need access. Users must keep credentials confidential, use unique passwords, and complete any authentication controls SST or Customer enables. Customer must promptly notify SST of suspected unauthorized access. SST will not request a user's password by email.

5. Fees, renewals, taxes, and plan changes

Paid fees, billing intervals, included usage, and subscription dates appear on the order or checkout page. Unless an order says otherwise, subscriptions are billed in advance and renew for the same interval until canceled. Customer authorizes the selected payment provider to charge amounts shown before checkout. SST will provide a way to cancel future renewal. Customer is responsible for applicable sales, use, and similar taxes other than taxes based on SST's net income. Plan changes and refunds follow the Billing and Refund Policy.

6. Customer Data and instructions

Customer retains ownership of information, files, records, logos, configurations, and other content submitted to the service (“Customer Data”). Customer instructs SST to process Customer Data to provide, secure, support, maintain, and improve the service and to meet legal obligations. Customer is responsible for having the notices, permissions, and lawful basis needed to place Customer Data in SST OneView, including employee, driver, vehicle-owner, customer, photo, location, and communication data.

SST does not sell Customer Data, use it for behavioral advertising, or claim ownership of it. SST may use aggregated or de-identified information that cannot reasonably identify Customer or a person to operate and improve the service.

7. Customer responsibilities

Customer must configure its own labor rates, parts pricing, fees, taxes, payment practices, workflows, and permissions. SST OneView is an operational tool and does not provide legal, tax, accounting, vehicle-safety, diagnostic, or employment advice. Customer remains responsible for reviewing estimates, inspections, work, invoices, payroll records, tax treatment, safety decisions, and communications before relying on or sending them.

8. Acceptable use

Customer and its users must follow the Acceptable Use Policy. Customer may not resell, sublicense, reverse engineer, interfere with, probe, scrape, or use the service to build a competing product except where applicable law expressly permits activity that cannot be restricted by contract.

9. Third-party services and connectors

Optional services such as payment, accounting, telematics, mapping, parts, labor-data, email, SMS, or asset providers are governed by their own agreements and privacy practices. Customer authorizes SST to exchange the data necessary to operate a connector it enables. SST is not responsible for a third party's service, data, decisions, prices, availability, or changes. A connector shown as available or connection-ready is not active for a Customer until required provider approval and credentials are complete.

10. SST technology and intellectual property

SST and its licensors retain all rights in SST OneView, its software, design, documentation, trademarks, service marks, and related technology. No right is granted except the limited right to use the service under this agreement. If Customer provides suggestions or feedback, Customer permits SST to use it without restriction or payment, but SST will not identify Customer publicly without permission.

11. Confidentiality

Each party will protect the other's non-public business, technical, security, pricing, and customer information using reasonable care and use it only to perform this agreement. Confidential information excludes information lawfully known without restriction, independently developed, received lawfully from another source, or made public without breach. A party may disclose information when legally required after providing notice where permitted.

12. Privacy and security

SST processes personal information as described in the Privacy Notice and, for Customer Data, the Data Processing Addendum. SST maintains administrative, technical, and physical measures designed to protect Customer Data. No online service can guarantee absolute security, and Customer is responsible for secure endpoints, networks, user practices, exports, and third-party accounts under its control.

13. Suspension

SST may suspend affected access when reasonably necessary to prevent security harm, address illegal or prohibited use, comply with law, protect other customers, respond to a provider failure, or address overdue undisputed fees. When practical, SST will provide notice and an opportunity to correct the issue and will limit a suspension to the affected access.

14. Termination and data return

Either party may terminate for a material breach that remains uncured 30 days after written notice, or immediately when cure is not possible, insolvency occurs, or continued service would be unlawful. Customer may cancel future renewal through the available billing channel or by written request. After termination, Customer should export needed data before access ends. On written request made within 30 days after termination, SST will provide a reasonable standard export when technically available. SST may then delete Customer Data subject to backup rotation, security, dispute, and legal-retention requirements.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, PREVIEW FEATURES, CONNECTORS, AND DOCUMENTATION ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SST DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SST DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, THAT EVERY DEFECT WILL BE CORRECTED, OR THAT GENERATED ESTIMATES, DIAGNOSTIC INFORMATION, LABOR TIMES, TAX RESULTS, OR THIRD-PARTY DATA ARE COMPLETE OR CORRECT.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR PAYMENT OBLIGATIONS, A PARTY'S MISUSE OF THE OTHER PARTY'S INTELLECTUAL PROPERTY, FRAUD, WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT LEGALLY BE LIMITED, EACH PARTY'S TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE FEES CUSTOMER PAID TO SST FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. FOR A NO-CHARGE EVALUATION, SST'S TOTAL LIABILITY WILL NOT EXCEED $100.

17. Indemnification

Customer will defend and indemnify SST against third-party claims arising from Customer Data, Customer's unlawful or prohibited use, or Customer's violation of another person's rights. SST will notify Customer promptly and allow Customer to control the defense, subject to SST's right to participate and to approve any settlement that admits fault or imposes an obligation on SST.

18. Changes to terms

SST may update these terms to reflect service, legal, or security changes. The current version and effective date will appear here. For material changes affecting a paid subscription, SST will provide reasonable notice through the service or the Customer's account email. Continued use after the effective date constitutes acceptance where permitted by law; when affirmative acceptance is required, SST will request it.

19. Governing law and disputes

Mississippi law governs this agreement without regard to conflict-of-law rules. Before filing a claim, each party will give written notice and allow 30 days for good-faith resolution. Courts located in Hancock County, Mississippi, or the applicable federal court will have exclusive jurisdiction, except that either party may seek urgent injunctive relief to protect systems, confidential information, or intellectual property.

20. General terms and contact

Neither party may assign this agreement without the other's consent, except in connection with a merger, reorganization, sale of substantially all relevant assets, or affiliate restructuring. Neither party is liable for delay caused by events beyond reasonable control. If a provision is unenforceable, the remaining terms continue. Failure to enforce a provision is not a waiver. Electronic notices and signatures are permitted.

Privacy Notice

This notice explains how SST handles personal information for sstworks.com, SST OneView accounts, private-preview requests, support, and business administration.

1. SST's role

SST decides how to use account, website, sales, billing, support, and security information needed to operate its business. For operational information a Customer enters into SST OneView—such as its own customer, employee, vehicle, work-order, and inventory records—Customer determines the purpose and SST processes the information under Customer's instructions. Questions about a Customer's records should normally be directed to that Customer first.

2. Information we receive

3. Sources

We receive information directly from users and Customers, from authorized administrators and integrations, automatically from browsers and systems, and from service providers involved in authentication, communications, support, security, or billing.

4. How we use information

  • Provide, configure, secure, maintain, and support the service.
  • Create accounts, verify invitations, administer subscriptions, and process provider-reported payment status.
  • Operate requested workflows and connectors.
  • Respond to inquiries and communicate operational, security, billing, and product information.
  • Prevent abuse, investigate incidents, enforce agreements, and comply with law.
  • Analyze reliability and improve the service using appropriately limited, aggregated, or de-identified information.

5. When information is disclosed

We disclose information to authorized Customer users; service providers working under contract, including Microsoft and Google when a website visitor allows optional analytics; customer-directed integration providers; professional advisers; authorities when legally required; and a successor in a merger, financing, reorganization, or sale subject to appropriate protections. We do not sell personal information or use it for cross-context behavioral advertising. We do not disclose Customer Data to another customer.

6. Payments and connectors

Subscription checkout is hosted by the selected payment provider. That provider handles payment credentials under its own terms and privacy notice and sends SST subscription and transaction status. Optional integrations are enabled by Customer and may send information to the provider Customer selects. Customers should review provider terms before connecting an account.

7. Cookies, analytics, and local storage

SST uses cookies, browser storage, and similar technologies needed for authentication, security, preferences, offline-capable workflows, and service operation. On sstworks.com, optional Microsoft Clarity and Google Analytics remain off until a visitor selects “Allow analytics.” When allowed, Clarity helps SST understand page performance and interactions through measurements such as page views, clicks, scrolling, heatmaps, and masked session replay; Google Analytics measures visits, acquisition sources, navigation, devices, browsers, and the site actions SST identifies as events. SST explicitly masks inquiry-form controls and uses Clarity's Balanced masking mode. SST has not enabled Google advertising remarketing, enhanced conversions, or customer-data uploads. Visitors may select “Necessary only” or reopen “Privacy choices” in the site footer at any time; changing from allowed to necessary-only takes effect on reload. SST does not use this data for cross-context behavioral advertising. Blocking necessary storage may prevent sign-in or core functions.

8. Retention

We retain information for the period needed to provide the service, protect systems, meet contractual and legal obligations, resolve disputes, and maintain appropriate business records. Retention varies by record type and Customer instructions. After account closure, data may remain for a limited period in backups, audit records, fraud-prevention records, and legally required financial records before deletion or de-identification. Customers should request export before access ends.

9. Security

SST uses measures designed to protect information, including encrypted transport, access controls, authentication controls, tenant separation, audit logging, protected backups, dependency review, and monitored service health. Security is a shared responsibility: Customers must protect endpoints, credentials, networks, exports, and connected provider accounts. No method of storage or transmission is completely secure.

10. Choices and privacy requests

Visitors can manage optional website analytics through “Privacy choices” in the sstworks.com footer. Users may update many account and business records through the service. Depending on applicable law and SST's role, a person may request access, correction, deletion, restriction, portability, or information about processing. SST may need to verify identity and authority and may retain information when legally permitted or required. For Customer-controlled records, SST may refer the request to the Customer. Send requests to sales@sstworks.com with “Privacy Request” in the subject.

11. State privacy disclosures

SST honors privacy rights required by applicable U.S. state law. SST does not discriminate against a person for exercising an applicable privacy right. SST does not knowingly sell or share personal information as those terms are defined by California privacy law. Because SST is in private preview, its statutory obligations may vary by activity, location, and processing role; this notice describes SST's practices even when a particular law does not apply.

12. Children

The service is for businesses and authorized workers and is not directed to children under 18. SST does not knowingly collect personal information from children through direct account registration.

13. United States processing

SST is based in Mississippi and operates the service from the United States. Information may be processed in the United States by SST and its providers. Customers must not use SST OneView for cross-border processing that requires additional transfer terms without first arranging them with SST.

14. Changes and contact

We may update this notice as the service or law changes. We will post the current version and effective date and provide additional notice for material changes when required.

03 / Safe operation

Acceptable Use Policy

This policy protects SST OneView customers, users, providers, and systems. It applies to every account, connector, API, upload, and communication sent through the service.

1. Lawful and authorized use

Do not use the service to violate law, another person's rights, contractual restrictions, safety requirements, or provider rules. Do not submit records, photos, location data, credentials, or communications unless Customer has authority to process them.

2. Security and platform integrity

Do not bypass access controls; share accounts; introduce malicious code; discover or exploit another tenant's data; probe or scan without SST's written authorization; overwhelm the service; defeat rate limits; interfere with monitoring; or use automated means that materially exceed documented interfaces and reasonable use.

3. Harmful content and conduct

Do not upload or transmit content that is unlawful, fraudulent, deceptive, threatening, harassing, discriminatory, defamatory, sexually exploitative, or infringing. Do not use communications for spam, phishing, impersonation, or unsolicited marketing that violates consent or opt-out rules.

4. Sensitive and regulated data

Do not store full payment-card data, card security codes, personal email passwords, or authentication secrets in free-text fields or uploads. Do not use the service for protected health information, criminal-justice information, classified information, export-controlled technical data, or another regulated category unless SST has expressly agreed in writing that the relevant environment and contract are configured for it.

5. Vehicle, safety, and technical information

Inspection templates, labor references, recall data, procedures, videos, estimates, and AI-assisted output are reference tools. Users must apply qualified professional judgment, verify current manufacturer and regulatory information, and never treat the service as a substitute for required safety inspection, diagnosis, training, or certification.

6. Enforcement and reporting

SST may investigate suspected violations and remove content, limit connectors, suspend affected access, or terminate use when reasonably necessary. Where practical, SST will give notice and a chance to correct. Report suspected abuse or security issues to sales@sstworks.com with “Security” or “Acceptable Use” in the subject.

04 / Commercial terms

Billing and Refund Policy

This policy explains the default billing treatment when a signed order form does not state different terms.

1. Evaluation access

The standard private-preview evaluation lasts 15 calendar days and does not require a card. The evaluation begins when the invited workspace is created, not when an inquiry or code is issued. Evaluation access ends automatically unless SST extends it or Customer starts a paid subscription.

2. Paid subscriptions and renewals

Monthly and annual subscriptions are billed in advance at the price displayed and accepted before checkout. Unless canceled, a subscription renews for the same billing interval. Any automatic renewal and the next renewal date will be shown through the hosted provider or account billing experience. SST will not convert a private-preview evaluation into a paid subscription without Customer's affirmative checkout authorization.

3. Cancellation

Customer may cancel future renewal through the hosted billing portal when available or by emailing sales@sstworks.com from an authorized account contact. Cancellation takes effect at the end of the current paid period unless law or an order requires otherwise. Customer should cancel before the provider begins processing renewal and should retain the cancellation confirmation.

4. Refunds and billing corrections

Fees are generally non-refundable once a paid period begins because capacity and access are reserved for that period. SST will correct duplicate or erroneous SST charges, issue refunds required by law, and refund prepaid fees for a period SST terminates without Customer breach. Requests should be sent within 14 days after the questioned charge with the account name and provider transaction reference—never full card or bank details. If SST approves a refund, provider and banking timelines control when funds appear.

5. Upgrades, downgrades, taxes, and separately scoped work

Upgrade or downgrade timing and prorating will be shown before confirmation. A downgrade may reduce modules, seats, or locations at the next billing period. Applicable taxes may be added. Onboarding, migration, additional seats, usage-based services, and optional industry modules may be quoted separately and are governed by the accepted quote or order.

6. Provider disputes

Please contact SST before initiating a provider dispute so SST can investigate and preserve service continuity. This request does not limit legal payment-dispute rights. SST may suspend access associated with a reversed or unpaid charge while the matter is resolved.

05 / Customer Data

Data Processing Addendum

This Data Processing Addendum (“DPA”) applies when SST processes personal information in Customer Data on behalf of Customer. It is incorporated into the SST agreement and is effective when Customer accepts the Service Terms or signs an order referencing it.

1. Roles and instructions

Customer is the controller or business and SST is the processor or service provider for Customer Data, as those terms are used under applicable privacy law. SST will process Customer Data only to provide, secure, support, and maintain the service; follow Customer's documented instructions; comply with law; and perform the agreement. The agreement, Customer's configuration, enabled connectors, and authorized support requests are documented instructions.

2. Customer obligations

Customer will provide lawful instructions, required notices, and a valid legal basis; limit data to what is necessary; configure roles and retention appropriately; and respond to individuals and regulators for processing Customer controls. Customer will not instruct SST to process data in violation of law.

3. Confidentiality and personnel

SST will limit access to personnel and contractors who need it to perform the service and who are subject to confidentiality obligations. SST will provide appropriate privacy and security direction to people with access.

4. Security measures

SST will maintain measures appropriate to the risk, including access control, authentication, encrypted transport, tenant isolation, audit activity, change and dependency review, vulnerability remediation, backup and recovery procedures, service monitoring, incident response, and secure disposal. Customer acknowledges that measures evolve with risk and technology. SST will not materially reduce overall protection during an active paid term.

5. Security incidents

SST will notify Customer without undue delay after confirming unauthorized acquisition of, access to, or disclosure of Customer Data for which notice is required (“Security Incident”). Notice will provide available information reasonably needed for Customer's obligations and will be supplemented as the investigation progresses. Unsuccessful attempts, blocked activity, and events that do not compromise Customer Data are not Security Incidents. Notification is not an admission of fault.

6. Individual requests and assessments

Taking account of the processing, SST will provide reasonable assistance for verified privacy requests, security assessments, breach obligations, and regulator inquiries. If SST receives a request concerning Customer Data, SST may direct the requester to Customer unless law prohibits it. Additional work beyond standard service capabilities may be scoped and charged when legally permitted.

7. Service providers and customer-directed integrations

Customer authorizes SST to use providers needed to operate the service. SST will require a provider processing Customer Data on SST's behalf to protect it through written terms appropriate to the service. SST remains responsible for its processor obligations. Current supporting and customer-directed providers include:

SST OneView's core application and managed asset service currently run on SST-controlled infrastructure in the United States. Other optional providers are not activated for a Customer until Customer or SST has the required provider relationship and authorization. SST will post material additions to this list and provide notice when required.

8. Return and deletion

During the term, Customer may export available records through standard service features. After termination and a timely written request, SST will provide a reasonable standard export where technically available. SST will delete or de-identify remaining Customer Data when no longer needed, subject to backup rotation, security, dispute, and legal-retention requirements.

9. Audits

On reasonable written request no more than once annually, SST will provide available security and privacy documentation needed to evaluate compliance. If that information is insufficient and law requires more, the parties will arrange a scoped review that protects other customers, systems, confidential information, and security. Customer bears its review costs unless a material SST breach is found.

10. Processing details

Subject and purpose
Providing a multi-tenant shop, dispatch, work-order, inventory, customer, workforce, accounting, help-desk, analytics, and integration platform.

The service term plus the limited return, backup, dispute, security, and legal-retention periods described above.
People
Customer personnel, applicants, contractors, customers, contacts, drivers, vehicle or equipment owners, vendors, and other people whose information Customer submits.
Data
Identity and contact data; employment and time data; vehicle, equipment, location, and service records; communications; images and documents; billing metadata; identifiers; authentication, audit, and device data; and other operational data Customer chooses to provide.
Sensitive data
The service is not intended for regulated sensitive categories unless SST agrees in writing. Customer should minimize government identifiers, financial credentials, precise location, and other sensitive data.

11. Priority and contact

If this DPA conflicts with the Service Terms on processing Customer Data, this DPA controls. Questions and requests may be sent to sales@sstworks.com with “Data Processing” in the subject.

06 / Service care

Private Preview Support Policy

This policy sets realistic support expectations while SST OneView remains in private preview. A signed order or pilot agreement may provide different commitments.

1. Support channel and hours

Authorized contacts should email sales@sstworks.com with the workspace name, affected workflow, impact, approximate start time, and safe reproduction details. Do not send passwords, full payment credentials, or unnecessary personal data. Standard support hours are Monday through Friday, 8:00 a.m. to 5:00 p.m. Central Time, excluding U.S. federal holidays. Reports may be sent at any time and are processed during support hours unless SST expressly arranges coverage.

Targets measure acknowledgement, not resolution. Resolution depends on reproducibility, severity, provider involvement, data recovery, and safe release requirements. SST may reclassify a report after review and will explain a material change.

3. Customer cooperation

Customer will maintain an authorized contact, provide timely information and test access where appropriate, preserve relevant records, apply available updates or workarounds, and avoid changes that could obscure the issue. SST may pause a target while awaiting Customer or provider information.

4. Maintenance and status communication

SST may perform routine maintenance and will provide advance notice for planned work expected to materially affect access when practical. Emergency maintenance may occur without advance notice to protect security or reliability. SST will communicate confirmed material incidents to affected preview contacts through the service or account email.

5. Availability and exclusions

Private preview has no guaranteed uptime percentage, service credits, or 24/7 response commitment. Targets do not apply to Customer networks or devices, unsupported modifications, prohibited use, provider outages, force-majeure events, preview features identified as experimental, or scheduled maintenance. Plan-specific support and availability terms will be published or included in an order before general availability.

Accessibility Statement

SST wants its websites and products to be understandable, navigable, and usable by people with a broad range of abilities and technologies.

Our target

SST uses Web Content Accessibility Guidelines (WCAG) 2.2 Level AA as its product-design target. SST OneView is still under active development and has not been certified as fully conforming. We test keyboard use, focus visibility, readable contrast, scalable layouts, labels, reduced motion, and status messaging as part of release work.

Report a barrier

If you cannot access content or complete a workflow, email sales@sstworks.com with “Accessibility” in the subject. Include the page or workflow, browser or assistive technology if comfortable, and the format or accommodation that would help. SST will acknowledge accessibility reports within two business days and work toward a practical response or alternative.

Third-party content

Some connected provider pages, documents, maps, videos, or embedded resources are controlled by third parties. SST cannot guarantee their accessibility but will help identify an available alternative when reasonably possible.
